Terms of Service (Canadian Customers)

Service agreement for Obsydia Core0 data vault deployment and licensing.

1. Agreement

These Terms govern your use of Obsydia Core0 data vault software and related services provided by Obsydia Technologies Ltd., a UK company, to customers located in Canada.

2. Service Description

Obsydia Core0 is enterprise data vault software for regulated industries. Available as hosted deployment on our infrastructure or self-hosted deployment on your infrastructure. We provide software licenses, managed hosting, updates, and support services.

3. Canadian Compliance Framework

For Canadian customers, Core0 is designed to support compliance with Canadian federal and provincial regulations including:

PIPEDA: Personal Information Protection and Electronic Documents Act
Provincial Privacy Laws: Quebec Bill 64, Alberta PIPA, BC PIPA, Ontario privacy legislation
Financial Services: OSFI guidelines, provincial securities regulations
Healthcare: Provincial health information acts (Ontario PHIPA, etc.)

4. Data Processing for Canadian Customers

Hosted Deployment: Data may be processed in Canadian data centers to ensure data residency compliance.
Self-Hosted Deployment: You control data location and processing jurisdiction.
Cross-Border: UK-Canada data transfers protected by appropriate safeguards and adequacy decisions.

5. Your Responsibilities

You are responsible for: (a) compliance with applicable Canadian federal and provincial laws; (b) data classification under PIPEDA and provincial legislation; (c) maintaining appropriate security practices; (d) backup and disaster recovery (self-hosted deployments); (e) notification requirements under applicable breach notification laws.

6. Our Responsibilities

We provide: (a) Core0 software and regular security updates; (b) technical support during business hours (Eastern Time); (c) infrastructure management (hosted deployments); (d) Canadian compliance documentation and guidance; (e) security monitoring and incident response; (f) assistance with regulatory reporting requirements.

7. PIPEDA Compliance

For customers subject to PIPEDA, we act as a service provider processing personal information on your behalf. We implement appropriate safeguards including: encryption of personal information, access controls, audit logging, incident response procedures, and staff training on privacy obligations.

8. Financial Services Compliance

Financial services customers may require additional compliance measures under OSFI guidelines, Canadian securities regulations, or anti-money laundering legislation. Specific compliance documentation and configurations available upon request.

9. Limitation of Liability

Our liability is limited to the fees paid by you in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages. This limitation applies to the fullest extent permitted by applicable Canadian law.

10. Termination

Either party may terminate with 30 days written notice. Upon termination: (a) hosted data exported to your specified format within 30 days; (b) self-hosted licenses continue to function but receive no updates; (c) support services cease; (d) personal information handled according to your written instructions.

11. Governing Law and Jurisdiction

Contractual Matters: These Terms are governed by English law for consistency with our UK entity.
Privacy Compliance: PIPEDA and applicable provincial privacy laws govern data processing requirements.
Disputes: Disputes may be resolved in English courts or, for Canadian customers' convenience, through binding arbitration under Canadian arbitration rules.
Regulatory Matters: Canadian regulatory compliance governed by applicable federal and provincial law.

12. Export Control

Core0 software may be subject to UK and Canadian export control regulations. Customer agrees to comply with all applicable export laws and regulations.

13. French Language

For Quebec customers: Upon request, key service documents can be provided in French to comply with Quebec language requirements.

14. Changes

We may update these Terms with 60 days advance notice. Material changes affecting privacy rights will be communicated with additional notice as required by applicable privacy legislation.
